Consolidated Printing Supplies Terms of Sale
Effective October 21, 2026
These Terms of Sale govern every sale of products by Consolidated Printing Supplies, LLC ("Seller"), to the customer named on the estimate, order, or invoice ("Buyer").
1. Agreement and acceptance
Buyer accepts these Terms by approving an estimate in writing (including by email), placing an order, issuing a purchase order, making any payment, or accepting delivery. These Terms, together with Seller's estimate or invoice, are the entire agreement for the sale. Any different or additional terms in Buyer's purchase order or other documents are rejected and do not apply unless Seller agrees to them in a signed writing.
2. Quotes and pricing
Estimates are valid for 30 days unless stated otherwise. Prices exclude sales tax, freight, and other charges unless shown on the estimate. Seller may correct clerical errors in pricing before shipment.
3. Payment terms
Payment is due in full before shipment unless Seller has approved Buyer for credit terms in writing. For approved accounts, payment is due within the terms stated on the invoice (for example, Net 30). Seller may change or withdraw credit terms at any time, place an account on hold, and require prepayment on future orders.
4. Late payment and collection costs
Past-due balances accrue a late charge of 1.5% per month (18% per year) or the maximum rate permitted by law, whichever is lower, from the due date until paid. Buyer agrees to pay all costs Seller incurs to collect any past-due amount, including reasonable attorney fees, collection agency fees, and court costs, to the extent permitted by law. Seller may stop or delay any shipment while any balance is past due.
5. Card payments and payment disputes
By providing a credit or debit card, Buyer authorizes Seller to charge that card for the order total and for any scheduled or remaining payments stated on the estimate. If a scheduled charge is declined, Buyer must provide a valid payment method within 3 business days. A declined payment or a chargeback on product that was delivered as ordered does not cancel Buyer's obligation to pay, and the amount remains due under Section 4.
6. Shipping, title, and risk of loss
Ship dates and delivery dates are estimates, not guarantees. Seller is not liable for delays caused by carriers, weather, or other events outside Seller's control. Unless otherwise stated in writing, title and risk of loss pass to Buyer when the order is delivered to the carrier. Some products may ship as regulated materials and may carry additional handling or freight charges.
7. Inspection, shortages, and freight damage
Buyer must inspect every shipment at delivery. Visible damage or shortages must be noted on the carrier's delivery receipt before signing, and reported to Seller with photos within 3 business days of delivery. Seller will assist Buyer with carrier claims for damage noted on the delivery receipt. Damage or shortages not noted on the delivery receipt, or not reported within 3 business days, are deemed accepted.
8. Cancellations and changes
Orders may be cancelled or changed only with Seller's written approval. Special-order products cannot be cancelled once Seller has placed the order. Approved cancellations may be subject to charges for costs already incurred.
9. Returns
Returns require Seller's prior written approval and a return authorization number. Approved returns of standard stock items must be unopened, in original packaging, and requested within 30 days of delivery. Approved returns are subject to a 20% restocking fee, and Buyer pays return freight. Opened products, products with a limited shelf life, and special-order products are not returnable unless defective under Section 12.
10. Compatibility, handling, and use
Buyer is responsible for confirming that products are compatible with its equipment and processes before ordering, and for safe storage, handling, and use of all products in accordance with the Safety Data Sheet and applicable law.
11. Custom labels
Custom label production may vary from the ordered quantity by up to 10%. Buyer will be invoiced for the actual quantity shipped.
12. Limited warranty
Seller warrants that products will match the description on the estimate or invoice at the time of delivery. If a product does not, Buyer's sole remedy is replacement of the product or a refund or credit of its purchase price, at Seller's option, provided Buyer notifies Seller within 30 days of delivery. EXCEPT AS STATED IN THIS SECTION AND TO THE EXTENT PERMITTED BY LAW, SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
13. Limitation of liability
To the extent permitted by law, Seller's total liability for any claim arising from a sale will not exceed the amount Buyer paid for the products involved. Seller is not liable for any indirect, incidental, special, or consequential damages, including lost profits, press downtime, spoiled print jobs, or labor costs.
14. Governing law and venue
These Terms are governed by the laws of the State of Michigan, without regard to conflict of law rules. Buyer agrees that any action relating to a sale may be brought in the state courts located in Saint Joseph County, Michigan, and Buyer consents to the personal jurisdiction of those courts. Seller may also bring an action to collect amounts owed in any court where Buyer resides, does business, or has assets.
15. General
Seller may update these Terms at any time. The version posted at consolidatedprintingsupplies.com/terms on the date of Buyer's order applies to that order. If any provision is found unenforceable, the rest remain in effect. Seller's failure to enforce a provision is not a waiver of it. Questions about these Terms can be sent to csc@cpswebsite.com or (913) 307-9250.
